Terms of Service

1. Acceptance of Terms

By accessing or using PayableFlow ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

2. Description of Service

PayableFlow provides AI-powered accounts payable automation software that extracts data from invoices, suggests GL codes, and facilitates invoice processing workflows. The Service uses artificial intelligence and machine learning technologies to process invoice documents.

3. Account Registration

• You must provide accurate and complete registration information
• You are responsible for maintaining the confidentiality of your account credentials
• You must be at least 18 years old to use the Service
• One person or legal entity may maintain only one account
• You are responsible for all activities under your account

4. Subscription and Billing

4.1 Free Trial

We offer a free trial allowing you to process up to 100 invoices. No credit card is required for the trial. The trial period ends when you reach the invoice limit or after 30 days, whichever comes first.

4.2 Paid Subscriptions

• Subscriptions are billed monthly or annually based on your selected plan
• All fees are in USD unless otherwise stated
• Prices are subject to change with 30 days notice
• You authorize us to charge your payment method for all fees

4.3 Refunds

Refunds are issued at our discretion. Monthly subscriptions are generally not refundable, but we may offer prorated refunds for annual plans within 30 days of purchase if less than 25% of your invoice quota has been used.

5. Acceptable Use

You agree NOT to:

• Use the Service for any illegal purpose
• Upload malware, viruses, or malicious code
• Attempt to gain unauthorized access to our systems
• Reverse engineer or decompile the Service
• Resell or redistribute the Service without authorization
• Use the Service to process invoices on behalf of third parties without a reseller agreement
• Abuse the API or exceed rate limits
• Upload false or fraudulent invoices

6. AI Processing and Accuracy

IMPORTANT: While our AI achieves 99% accuracy in testing, you acknowledge that:

• AI-extracted data may contain errors and should be verified
• You are responsible for reviewing and approving all extracted data before use
• We are not liable for financial losses from inaccurate AI extractions
• The Service is a tool to assist, not replace, human accounting judgment

7. Data Ownership and Rights

7.1 Your Data

You retain all rights to your invoice data. We claim no ownership over the content you upload. However, you grant us a license to process, store, and display your data as necessary to provide the Service.

7.2 Our Intellectual Property

The Service, including all software, AI models, algorithms, and documentation, is owned by PayableFlow and protected by copyright and other intellectual property laws.

8. Privacy and Data Security

Your use of the Service is also governed by our Privacy Policy. We implement industry-standard security measures, but cannot guarantee absolute security. You are responsible for backing up your data.

9. Service Availability

We strive for 99.9% uptime, but the Service is provided "as is" and "as available." We do not guarantee:

• Uninterrupted or error-free operation
• Specific response times for processing
• Compatibility with all file formats

We will provide notice of scheduled maintenance when possible.

10. Termination

Either party may terminate this agreement:

• You may cancel your subscription at any time from your account settings
• We may suspend or terminate your account for violation of these Terms
• We may terminate the Service entirely with 30 days notice

Upon termination, you will have 30 days to export your data. After that, your data may be permanently deleted.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• PayableFlow is not liable for indirect, incidental, or consequential damages
• Our total liability is limited to the amount you paid in the last 12 months
• We are not responsible for third-party service failures (Anthropic, Supabase, etc.)
• We are not liable for data loss (maintain your own backups)

12. Indemnification

You agree to indemnify and hold PayableFlow harmless from any claims, damages, or expenses arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

13. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes via email or through the Service. Continued use after changes constitutes acceptance of the new Terms.

14. Governing Law

These Terms are governed by the laws of [Your Jurisdiction]. Any disputes shall be resolved in the courts of [Your Jurisdiction].
